Terms of Service

1. Acceptance of Terms
By accessing or using mdatool ("Service"), operated by Quantum Club Limited Liability Company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
mdatool provides data modeling and SQL quality tools, including:
- DDL conversion between database platforms
- SQL linting and code quality analysis
- Abbreviation and definition glossaries
- Naming convention auditing
- Other database development tools
3. Account Registration
3.1 Account Creation
To use certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information
- Keep your password secure and confidential
- Notify us immediately of unauthorized access
- Be responsible for all activities under your account
3.2 Account Eligibility
You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.
4. Subscription Plans and Payments
4.1 Subscription Tiers
We offer three subscription tiers:
- Free: Limited daily usage (5 conversions/day, 5 linter checks/day)
- Pro ($9/month): Unlimited conversions and linting
- Enterprise ($29/month): All Pro features plus priority support and API access
4.2 Billing
- Subscriptions are billed monthly in advance
- Payments are processed securely through Stripe
- You authorize recurring charges to your payment method
- Prices are subject to change with 30 days' notice
- All fees are non-refundable except as required by law
4.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. No refunds will be issued for partial months.
4.4 Failed Payments
If payment fails, we will attempt to process it again. If payment continues to fail, your account may be downgraded to the Free tier or suspended.
5. Acceptable Use
You agree not to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Upload malicious code or viruses
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use automated systems (bots, scrapers) without permission
- Resell or redistribute the Service
- Submit false, misleading, or inappropriate content
- Harass, abuse, or harm other users
- Exceed usage limits by creating multiple accounts
6. User Content
6.1 Your Content
You retain ownership of content you submit (SQL code, abbreviations, definitions). By submitting content, you grant us a license to use, store, and display it to provide the Service.
6.2 Content Responsibility
You are solely responsible for your content. We do not endorse or guarantee the accuracy of user-generated content.
6.3 Content Removal
We reserve the right to remove content that violates these Terms or is otherwise objectionable.
7. Intellectual Property
7.1 Our IP
The Service, including its design, features, code, and content (excluding user content), is owned by us and protected by copyright, trademark, and other intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes in accordance with these Terms.
8. Privacy
Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your information.
9. Disclaimers
9.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 No Guarantee of Accuracy
We do not guarantee that DDL conversions, SQL linting results, or other outputs will be error-free or suitable for your specific use case. You should review and test all generated code before use.
9.3 Service Availability
We do not guarantee uninterrupted or error-free access to the Service. We may modify, suspend, or discontinue features at any time.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use of or inability to use the Service
- Any unauthorized access to or use of our servers and/or personal information
- Any bugs, viruses, or other harmful code
- User content or conduct of third parties
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another
- Your content
12. Termination
12.1 By You
You may terminate your account at any time by contacting us or using account settings.
12.2 By Us
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. We will provide notice when possible.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account and data. Provisions that should survive termination will remain in effect.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
13.2 Arbitration
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except you may bring claims in small claims court if they qualify.
13.3 Class Action Waiver
You agree that disputes will be resolved individually, not as part of a class action or representative proceeding.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
15. Miscellaneous
15.1 Entire Agreement
These Terms constitute the entire agreement between you and us regarding the Service.
15.2 Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.
15.3 Waiver
Our failure to enforce any right or provision is not a waiver of that right or provision.
15.4 Assignment
You may not assign these Terms without our consent. We may assign our rights without restriction.
